    Ritmo "Keep Giving" Contest Official Rules

    THIS IS A SKILL-BASED CONTEST. WINNERS ARE DETERMINED BY SKILL, NOT BY CHANCE - THERE IS NO RANDOM DRAWING AT ANY STAGE. THE DOLLAR AMOUNT YOU DONATE DOES NOT IMPROVE YOUR SCORE OR YOUR CHANCES OF WINNING. VOID IN COLORADO, MARYLAND, NEBRASKA, NORTH DAKOTA, AND WHERE OTHERWISE PROHIBITED OR RESTRICTED.

    BY PARTICIPATING YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT - THEY INCLUDE AN INDEMNITY TO THE SPONSOR, A LIMITATION OF YOUR RIGHTS AND REMEDIES, AND A WAIVER OF CLASS ACTIONS. READ THEM BEFORE PARTICIPATING.

    1The Promotion

    The Ritmo "Keep Giving" Contest (the "Contest") is a skill-based contest. Winners are determined solely by objective, measurable criteria (Section 6) and a fixed, pre-published tiebreaker order. No element of chance is used at any stage, and no random drawing is conducted. The Contest is not a sweepstakes, lottery, or game of chance.

    Participation constitutes each entrant's full and unconditional agreement to these Official Rules and to the decisions of the Sponsor, which are final and binding in all matters relating to the Contest.

    3Contest Period

    The Contest begins on August 1, 2026 at 12:00 a.m. Pacific Time and ends on August 31, 2026 at 11:59 p.m. Pacific Time (the "Contest Period"). Sponsor's systems are the official timekeeping devices for the Contest. Scores and rankings are measured as of the end of the Contest Period.

    4Eligibility

    The Contest is open only to legal residents of the United States and the District of Columbia who are at least eighteen (18) years of age (or the age of majority in their jurisdiction, whichever is greater) at the time of entry, excluding residents of Colorado, Maryland, Nebraska, and North Dakota (states that do not permit consideration or entry requirements in a skill contest), and residents of any other state where paid or purchase-related skill contests are prohibited or restricted by law. Employees, officers, and directors of Sponsor and its affiliates, and their immediate family members (spouse, parent, sibling, child) and household members, are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations and is void in Colorado, Maryland, Nebraska, North Dakota, and where otherwise prohibited or restricted by law. Because entry is automatic, residents of excluded states and persons who are not eligible may appear on the public leaderboard, but they are not eligible to win; eligibility is confirmed before any prize is awarded (Section 9).

    5How to Participate

    Entry is automatic - there is nothing to sign up for. Any Ritmo user who makes a donation during the Contest Period is automatically included as one of that month's givers and appears on the public leaderboard under an anonymised handle (an auto-assigned or otherwise non-identifying nickname - never your real name). Downloading and using the Ritmo app is free and open; no separate step is needed to participate.

    Make regular donations during the Contest Period to build your Donation Score (Section 7). Every participant receives $7 in donation credits at sign-up ($1 per day for seven (7) days) to begin donating at no cost; continuing to donate beyond that is funded by the participant.

    Any funds a participant adds to their account are charitable donations directed by the participant to nonprofit organizations of their choice. Sponsor derives no revenue from these donations. The dollar amount of each donation does not affect the Donation Score or a participant's standing - the scoring criteria in Section 7 disregard amounts entirely. The Donation Score rewards how consistently and how often a participant shows up to donate, together with their streak - never how much money they give.

    Finding yourself. Because handles are anonymised, a participant can locate their own position through a private look-up (for example, by entering the email on their Ritmo account). This reveals only that participant's own rank and does not identify anyone else.

    Limit: one (1) account per person, identified by a unique email address. Any attempt to participate through multiple accounts, or through automated, scripted, or bot activity, will void all affected entries and may result in disqualification.

    6How Winners Are Determined (Skill; No Chance)

    At the end of the Contest Period, the three (3) participants with the highest Donation Score (Section 7) will be the winners.

    Tiebreaker

    If two or more participants have an identical Donation Score at a position affecting the top three, the tie will be resolved by the following objective criteria, in this order, until the tie is broken:

    1. Higher August consistency (the consistency component of the Donation Score);
    2. More days donated during the Contest Period;
    3. Longer streak of consecutive donation days during the Contest Period;
    4. Earliest first donation made during the Contest Period (by timestamp); and, only if participants remain exactly identical after (1)-(4),
    5. Earliest account creation (by timestamp).

    No random selection is used at any point. All winners and tiebreaks are determined solely by the objective criteria above. The Donation Score formula, its component weightings, and this tiebreaker order are established and published in advance of the Contest and are not changed after scores are known. Sponsor's determination based on its records is final.

    Eligibility to win. To be eligible to win, a participant must have made a donation on at least seven (7) days during the Contest Period. (This is a minimum-participation floor so that a very short run cannot outrank sustained consistency; it is not a random or chance element.)

    7Definition of the Donation Score

    The "Donation Score" is the Contest's ranking metric. It is calculated by a fixed formula, published in advance and not changed after scores are known, and is measured over the Contest Period (August 1-31, 2026) only:

    Donation Score = (0.5 × August Consistency) + (0.3 × Days Index) + (0.2 × Streak Index), where each input is placed on a 0-100 scale.

    • August Consistency - the number of days in August the participant made a donation, divided by the number of days in August they could have made one (from August 1, or from their join date if later), expressed 0-100. It reflects consistency only and disregards the amount donated, the causes selected, and how long the participant has used Ritmo.
    • Days Index - the number of days the participant donated in August, divided by 31 (the number of days in August), expressed 0-100.
    • Streak Index - the participant's longest run of consecutive donation days within August, counted fresh from August 1 and capped at 31, divided by 31, expressed 0-100.

    The denominators are fixed (31 days), not the maximum among participants, so every score means the same thing and does not change when a participant is added to or removed from the field. The streak is measured within August only and starts fresh on August 1; it does not affect or reset the participant's live in-app streak. The Donation Score ignores the dollar amount of donations entirely - donating larger amounts never raises it; donating on more days and holding a longer streak do, by design. Sponsor's records of each participant's Donation Score and its components are final and binding.

    8Prizes

    Three (3) prizes are available. Each winner receives $1,000 in Donation Credits funded by Sponsor (as described in Ritmo's Terms of Service §8.2). Over the twelve (12) months following the date the prize is claimed, the winner may use these Donation Credits to submit advisory grant recommendations, through the Ritmo app, to eligible nonprofit organization(s) of their choice. As with all contributions through the Services, the underlying funds are held and controlled by Givinga Foundation (a 501(c)(3) donor-advised fund sponsor); Sponsor does not hold the funds, and Givinga Foundation retains final authority over all grant disbursements.

    Donation Credits are not cash, have no cash value, and cannot be withdrawn, transferred, or redeemed for cash; they may be used only to recommend grants to nonprofit organizations through the Services. Prizes are non-transferable. No substitution except by Sponsor, which reserves the right to substitute a prize of equal or greater value if a prize becomes unavailable. Approximate Retail Value ("ARV") of each prize: $1,000. Total ARV of all prizes: $3,000. Limit one (1) prize per person.

    In no event will Sponsor award more than the stated number of prizes. If, due to any error, more valid claims are received than prizes are available, Sponsor may award the intended number of prizes to the highest-ranked eligible participants determined under Section 6.

    9Winner Verification, Notification, and Claim

    All potential winners are subject to verification of identity and eligibility. Sponsor will notify potential winners via the email address and/or in-app messaging associated with their account on or about September 5, 2026. To claim a prize, each potential winner must confirm they are eligible (a US resident, at least 18, and not a resident of Colorado, Maryland, Nebraska, or North Dakota), expressly agree to these Official Rules, and represent and warrant that the information they provide is accurate and that they meet all eligibility requirements. Because entry is otherwise automatic and passive, this claim step is where eligibility, the eligibility representations, and agreement to the Rules are enforced - a participant is not required to have affirmed anything simply by appearing on the leaderboard. Sponsor may require reasonable verification of residency and age. If a potential winner cannot be contacted within five (5) days, declines the prize, fails to confirm eligibility or agree to the Rules, is found ineligible, or is disqualified, the prize will be awarded to the next-highest-ranked eligible participant determined under Section 6 (not by random draw). Sponsor is not required to look beyond five (5) alternates, after which the prize may remain unawarded.

    10Taxes

    The prize consists of Donation Credits usable only to recommend charitable grants; the winner does not receive cash or personal use of funds. Because the winner did not personally contribute the credited amount, any tax receipt for the underlying donation is issued to the funder (Sponsor), not to the winner (see Ritmo's Terms of Service §8.2). Sponsor therefore does not expect the prize to constitute taxable income to winners and does not anticipate issuing an IRS Form 1099. Winners are responsible for any taxes that may nonetheless apply, and Sponsor will report or withhold only as required by law.

    11Publicity

    Public leaderboards during the Contest display only an anonymised handle and a Donation Score - never real names, donation amounts, or causes - so participants are not publicly identifiable. At the point of claiming, each winner consents to Sponsor's use of their first name and chosen cause(s) in Contest and marketing communications, in any media, worldwide, without additional compensation.

    12Privacy

    Information collected from participants is subject to Sponsor's Privacy Policy at https://www.joinritmo.com/privacy. By participating, participants consent to the collection and use of their information for administering the Contest, including sharing what is reasonably necessary with Givinga Foundation and service providers to verify eligibility and disburse prizes.

    13General Conditions; Right to Modify

    Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the operation of the Contest, participating through multiple accounts, using automated or bot activity, acting in violation of these Official Rules, or acting in a disruptive manner. Sponsor reserves the right to suspend, modify, or terminate the Contest if fraud, technical failures, or any factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, and in such case to determine winners from eligible participation recorded up to the time of the impairment using the criteria in Section 6. Sponsor's failure to enforce any term of these Official Rules does not constitute a waiver of that term.

    In the event of any ambiguity, discrepancy, or inconsistency between these Official Rules and any other Contest communication, these Official Rules govern, and any such ambiguity will be resolved in Sponsor's sole discretion; participants waive any right to claim ambiguity. Any attempt to deliberately damage the Contest, the app, or the website, or to undermine the legitimate operation of the Contest, may violate criminal and civil law, and Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted.

    14Release, Indemnity, and Limitation of Liability

    By participating, each participant agrees to release and hold harmless Sponsor, its affiliates, and their respective officers, directors, employees, and agents (the "Released Parties") from any and all claims, injury, loss, or damage arising directly or indirectly from participation in the Contest or acceptance, use, or misuse of any prize. The Released Parties are not responsible for: incorrect or inaccurate information; technical failures of any kind; unauthorized human intervention; or any error in the administration of the Contest or processing of participation.

    Each participant further agrees to indemnify and hold the Released Parties harmless from any third-party claim, demand, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to the participant's participation in the Contest, their breach of these Official Rules, or their violation of any law or the rights of any third party.

    To the maximum extent permitted by law, participants waive any right to claim punitive, incidental, consequential, or special damages, and any award is limited to actual out-of-pocket costs incurred.

    Each participant expressly waives any rights under Section 1542 of the California Civil Code and any similar law of any state, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

    15Governing Law and Disputes

    Except where prohibited, these Official Rules and any dispute arising out of or relating to the Contest are governed by the laws of the State of New York, without regard to conflict-of-law principles, except that mandatory consumer-protection laws of your state of residence that cannot be waived may also apply. The state and federal courts located in New York County, New York have exclusive jurisdiction over any such dispute, except that you may bring an individual claim in small claims court where permitted. Nothing in this section limits any right that cannot be waived under applicable law.

    To the extent permitted by law, any dispute, claim, or cause of action will be resolved individually, without resort to any form of class action, and each participant waives any right to participate in a class or representative proceeding. Any recovery is limited to actual out-of-pocket costs incurred, and no attorneys' fees will be awarded or recoverable.

    16App-Store Disclaimer

    The Contest is not sponsored, endorsed, administered by, or associated with Apple Inc. or Google LLC.

    17Severability

    If any provision of these Official Rules is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
